1. Acceptance of Terms
By downloading, installing, or using Cinch Audio Recorder Ultimate (“the Software”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not install or use the Software.
2. License Grant
2.1 Trial Version
- You are granted a free trial limited to 9 recordings
- Trial includes all features with recording limitation only
- No payment information required for trial
- Trial data is retained after activation
2.2 Full License
- Upon purchasing a license key, you receive a non-exclusive, non-transferable license
- One license = One device installation
- License is perpetual (no subscription)
- Includes free updates for the current major version (v1.x)
2.3 License Restrictions
You may NOT:
- Share your license key with others
- Install on multiple devices with a single license
- Reverse engineer, decompile, or disassemble the Software
- Remove copyright notices or proprietary markings
- Distribute, rent, lease, or sublicense the Software
- Use the Software for illegal purposes
3. Activation & Validation
3.1 Activation Requirements
- Valid license key required for full access
- Internet connection required for activation
- License validation occurs periodically (configurable by administrator)
3.2 Offline Grace Period
- Software remains functional for 72 hours offline (default)
- Grace period configurable by administrator
- Revalidation required after grace period expires
3.3 Hardware Changes
- License is tied to hardware fingerprint
- Significant hardware changes may require reactivation
- Contact support for reactivation assistance
4. User Responsibilities
4.1 Lawful Use
You agree to:
- Use the Software only for lawful purposes
- Respect copyright laws when recording audio
- Obtain necessary permissions before recording copyrighted content
- Comply with applicable laws in your jurisdiction
4.2 Account Security
You are responsible for:
- Keeping your license key confidential
- Protecting your license email and key from unauthorized access
- Notifying us immediately of any unauthorized use
5. Data Collection & Privacy
5.1 What We Collect
- License validation data: email, license key, machine ID
- Anonymous usage statistics: feature usage, error reports
- Trial tracking: number of recordings made
5.2 What We DON’T Collect
- ❌ Your audio recordings
- ❌ Personal files or documents
- ❌ Browsing history
- ❌ Personally identifiable information beyond license details
5.3 Data Storage
- License data stored on secure servers
- Audio recordings stored locally only on your device
- We never access or upload your recordings

6. Third-Party Services
6.1 Music Recognition
- Powered by ACRCloud API
- Subject to ACRCloud’s terms and policies
- Recognition requires internet connection
6.2 Metadata Enrichment
- Uses MusicBrainz database
- Subject to MusicBrainz terms of use
- Free and open-source music encyclopedia
6.3 External Dependencies
- FFmpeg (LGPL v2.1+)
- NAudio (MIT License)
- Other open-source components (see About page)
7. Intellectual Property
7.1 Ownership
- Cinch Solutions retains all rights, title, and interest in the Software
- Your license does not grant ownership, only usage rights
- All trademarks and logos remain property of Cinch Solution
7.2 User Content
- You retain all rights to your recordings
- We claim no ownership over content you create
- You are responsible for backup and storage of your recordings
8. Payment & Refunds
8.1 Pricing
- One-time payment for perpetual license
- No hidden fees or subscriptions
- Prices subject to change without notice for new purchases
8.2 Payment Processing
- Payments processed via PayPal or other authorized processors
- We do not store credit card information
- Payment data subject to processor’s terms
8.3 Refund Policy
- 30-day money-back guarantee
- Refund requests must be submitted via email to support@cinchsolution.com
- Must provide order details and reason for refund
- Refunds processed at our discretion within 5-10 business days
- No refunds after 30 days from purchase date
9. Software Updates
9.1 Free Updates
- Minor updates (v1.x) provided free to all license holders
- Updates may include bug fixes, improvements, and new features
- No guarantee of specific update frequency
9.2 Major Versions
- Major version upgrades (v2.0+) may require separate purchase
- Existing license remains valid for current major version
- Upgrade discounts may be offered to existing customers
9.3 Update Delivery
- Updates available via software check or website download
- Automatic update notifications (can be disabled)
- Manual update available at any time

11. Warranty Disclaimer
THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND.
11.1 No Warranties
- No warranty of merchantability
- No warranty of fitness for particular purpose
- No warranty of uninterrupted or error-free operation
- No warranty regarding accuracy of recognition results
11.2 Your Risk
You acknowledge that:
- Software may contain bugs or errors
- Recognition accuracy depends on audio quality and database
- Your use is at your own risk
- You should maintain backups of important recordings
12. Limitation of Liability
12.1 Liability Limits
Cinch Solutions shall NOT be liable for:
- Loss of data or recordings
- Lost profits or business opportunities
- Indirect, incidental, or consequential damages
- Damages exceeding the amount you paid for the license
12.2 Maximum Liability
Our total liability shall not exceed the license fee you paid.
13. Termination
13.1 By You
You may terminate this agreement by:
- Uninstalling the Software
- Destroying all copies
- Ceasing all use
13.2 By Us
We may terminate your license if:
- You violate these Terms
- You engage in fraudulent activity
- You share or resell your license key
- You use the Software for illegal purposes
13.3 Effect of Termination
Upon termination:
- Your license becomes invalid
- You must cease all use immediately
- You must uninstall the Software
- No refund will be issued for violations
14. Changes to Terms
14.1 Modifications
- We reserve the right to modify these Terms at any time
- Changes effective immediately upon posting
- Continued use constitutes acceptance of changes
- Material changes will be notified via email or software
14.2 Version History

- Previous versions available upon request
15. Governing Law
15.1 Jurisdiction
These Terms shall be governed by:
