IMPORTANT – READ CAREFULLY:
This End User License Agreement (“EULA” or “Agreement”) is a legal agreement between you (either an individual or a single entity, referred to as “You” or “Licensee”) and Cinch Solutions (“Licensor,” “We,” “Us,” or “Our”) for the Cinch Audio Recorder Ultimate software product, which includes computer software and may include associated media, printed materials, and online or electronic documentation (collectively, the “Software”).
BY CLICKING “I ACCEPT,” DOWNLOADING, INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THE TERMS OF THIS EULA, DO NOT INSTALL OR USE THE SOFTWARE AND PROMPTLY RETURN IT TO THE PLACE OF PURCHASE FOR A FULL REFUND.
1. DEFINITIONS
1.1 “Software” means the Cinch Audio Recorder Ultimate application, including all updates, upgrades, and patches provided by Licensor.
1.2 “Documentation” means any user manuals, technical documentation, and online help files provided with the Software.
1.3 “License Key” means the unique alphanumeric code provided to activate the full version of the Software.
1.4 “Device” means a single computer or workstation on which the Software is installed and used.
1.5 “Trial Version” means the limited functionality version of the Software provided without charge.
1.6 “Full Version” means the complete functionality version of the Software activated with a valid License Key.
2. GRANT OF LICENSE
2.1 Trial Version License
Subject to the terms of this EULA, Licensor grants You a limited, non-exclusive, non-transferable, revocable license to:
- Install and use the Trial Version on a single Device
- Evaluate the Software for a period limited to 9 recordings
- Access all features with recording quantity restrictions
2.2 Full Version License
Upon purchase of a License Key and subject to Your compliance with this EULA, Licensor grants You a limited, non-exclusive, non-transferable, perpetual license to:
- Install and use the Software on one (1) Device per License Key
- Use all features of the Software without trial limitations
- Receive updates for the current major version (v1.x) at no additional cost
- Make one (1) backup copy of the Software for archival purposes
2.3 Multi-Device Licenses
If You wish to use the Software on multiple Devices, You must purchase additional License Keys. Each License Key permits installation on one (1) Device only.
3. LICENSE RESTRICTIONS
You shall NOT, and shall not permit any third party to:
3.1 Prohibited Actions
a) Distribute, sublicense, rent, lease, lend, or sell the Software or License Keys;
b) Copy the Software except as expressly permitted in Section 2.2;
c) Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent such restriction is expressly prohibited by applicable law;
d) Modify, adapt, translate, or create derivative works based upon the Software;
e) Remove, alter, or obscure any copyright, trademark, or other proprietary rights notice on or in the Software;
f) Use the Software for any illegal purpose or in violation of any applicable laws or regulations;
g) Share Your License Key with any third party or use a single License Key on multiple Devices;
h) Circumvent or attempt to circumvent any technical protection measures, activation mechanisms, or license validation systems in the Software;
i) Use the Software to record audio content in violation of copyright laws or without proper authorization;
j) Interfere with or disrupt servers or networks connected to the Software, or violate any requirements, procedures, policies, or regulations of such networks;
k) Use the Software in any manner that could damage, disable, overburden, or impair any Licensor server or network;
l) Attempt to gain unauthorized access to any services, accounts, systems, or networks connected to the Software.
4. INTELLECTUAL PROPERTY RIGHTS
4.1 Ownership
The Software is licensed, not sold. Licensor and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights therein. The Software is protected by copyright laws and international treaty provisions.
4.2 Trademarks
“Cinch Audio Recorder,” “Cinch Solutions,” and all related logos are trademarks or registered trademarks of Licensor. You may not use these marks without prior written permission.
4.3 Your Content
You retain all rights, title, and interest in and to any audio recordings or content You create using the Software (“Your Content”). Licensor claims no ownership rights in Your Content.
5. ACTIVATION AND VALIDATION
5.1 Activation Requirement
The Full Version requires activation using a valid License Key. Activation associates Your License Key with a unique hardware identifier of Your Device.
5.2 Internet Connection
An internet connection is required for:
- Initial activation
- Periodic license validation
- Accessing online features (music recognition, metadata enrichment)
5.3 Validation Process
The Software may periodically validate Your license by connecting to Licensor’s servers. Validation checks:
- License Key authenticity
- Device association
- License status (active/suspended/expired)
5.4 Offline Grace Period
If validation cannot occur due to lack of internet connectivity, the Software will continue to function for a grace period (default 72 hours, configurable by administrator). After this period, full functionality may be restricted until validation succeeds.
5.5 Hardware Changes
Significant hardware changes may require reactivation. You may request reactivation assistance by contacting support@cinchsolution.com.
6. DATA COLLECTION AND PRIVACY
6.1 Data Collection
The Software collects the following data:
a) License Validation Data:
- License Key
- Email address
- Hardware identifier (Machine ID)
- Operating system information
- Software version
b) Anonymous Usage Data:
- Feature usage statistics
- Error reports and crash logs
- Performance metrics
6.2 What We Do NOT Collect
Licensor does NOT collect, access, transmit, or store:
- Your audio recordings
- Personal files or documents
- Browsing history
- Keystroke data
- Information from other applications
6.3 Data Usage
Collected data is used solely for:
- License validation and enforcement
- Software improvement and debugging
- Technical support
- Security and fraud prevention
6.4 Data Storage
- License data is stored on secure servers with industry-standard encryption
- Audio recordings are stored locally on Your Device only
- We never upload or access Your recordings

7. THIRD-PARTY COMPONENTS
7.1 Third-Party Services
The Software integrates with third-party services:
a) ACRCloud – Music recognition service
b) MusicBrainz – Music metadata database
Your use of these services is subject to their respective terms and privacy policies.
7.2 Open Source Components
The Software includes open-source components:
a) FFmpeg – Licensed under LGPL v2.1 or later
b) NAudio – Licensed under MIT License
c) TagLibSharp – Licensed under LGPL

Licensor complies with all applicable open-source licenses.
8. UPDATES AND UPGRADES
8.1 Automatic Updates
The Software may automatically download and install updates. You may disable automatic updates in Settings, but this may affect functionality and security.
8.2 Minor Updates
Minor updates (version 1.x) are provided free of charge to all licensed users. Updates may include:
- Bug fixes
- Security patches
- Performance improvements
- New features
8.3 Major Upgrades
Major version upgrades (e.g., version 2.0) may require a separate purchase. Existing licenses remain valid for the current major version.
9. TECHNICAL SUPPORT
9.1 Support Availability
Licensor provides technical support via email at support@cinchsolution.com on a best-effort basis. Support is available during business hours (GMT+8).
9.2 Support Scope
Support includes:
- Installation assistance
- Activation issues
- Bug reports
- Feature guidance
9.3 Support Limitations
Licensor is NOT obligated to:
- Provide 24/7 support
- Guarantee specific response times
- Support modified or tampered Software
- Support unauthorized use or pirated licenses
10. WARRANTY DISCLAIMER
10.1 NO WARRANTY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. LICENSOR EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:
a) IMPLIED WARRANTIES OF MERCHANTABILITY
b) IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE
c) IMPLIED WARRANTIES OF NON-INFRINGEMENT
d) WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE
10.2 NO GUARANTEE OF RESULTS
LICENSOR DOES NOT WARRANT THAT:
a) The Software will meet Your requirements
b) The Software will operate uninterrupted or error-free
c) All errors will be corrected
d) The Software is free of viruses or harmful components
e) Music recognition will be accurate or complete
f) Metadata retrieval will be available or accurate
10.3 YOUR RESPONSIBILITY
You acknowledge and agree that:
a) Use of the Software is at Your sole risk
b) You are responsible for backing up Your data
c) You should verify the accuracy of recognition results
d) You must comply with applicable copyright laws
11. LIMITATION OF LIABILITY
11.1 EXCLUSION OF DAMAGES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:
a) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
b) LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
c) LOSS OF DATA OR RECORDINGS
d) COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES
e) BUSINESS INTERRUPTION
f) LOSS OF USE OR LOSS OF SAVINGS
ARISING OUT OF OR RELATED TO THIS EULA OR THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.2 MAXIMUM LIABILITY
LICENSOR’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS EULA SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE LICENSE KEY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11.3 ESSENTIAL PURPOSE
YOU ACKNOWLEDGE THAT THE LIMITATIONS OF LIABILITY IN THIS SECTION 11 ARE AN ESSENTIAL ELEMENT OF THE BARGAIN BETWEEN YOU AND LICENSOR, AND THAT LICENSOR WOULD NOT PROVIDE THE SOFTWARE WITHOUT THESE LIMITATIONS.
11.4 APPLICABLE LAW
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to You. In such jurisdictions, Licensor’s liability shall be limited to the greatest extent permitted by law.
12. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Licensor, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from:
a) Your use or misuse of the Software
b) Your violation of this EULA
c) Your violation of any third-party rights, including copyright or privacy rights
d) Your use of the Software for illegal purposes
13. TERM AND TERMINATION
13.1 Term
This EULA is effective from the date You first install or use the Software and continues until terminated.
13.2 Termination by You
You may terminate this EULA at any time by:
- Uninstalling the Software from all Devices
- Destroying all copies of the Software in Your possession
- Ceasing all use of the Software
13.3 Termination by Licensor
Licensor may terminate this EULA immediately without notice if:
a) You breach any term of this EULA
b) You use pirated or unauthorized License Keys
c) You engage in fraudulent activity
d) You violate applicable laws or regulations
e) You share or resell Your License Key
13.4 Effect of Termination
Upon termination:
a) All rights granted under this EULA immediately cease
b) You must immediately cease all use of the Software
c) You must uninstall the Software from all Devices
d) You must destroy all copies of the Software
e) Sections 4, 10, 11, 12, 14, and 16 shall survive termination
f) No refund will be issued for termination due to breach
14. EXPORT COMPLIANCE
You acknowledge that the Software may be subject to export control laws and regulations. You agree to comply with all applicable international and national laws that apply to the Software, including export regulations and sanctions programs.
You represent and warrant that:
a) You are not located in a country subject to a U.S. Government embargo
b) You are not listed on any U.S. Government list of prohibited or restricted parties
c) You will not export or re-export the Software to prohibited countries or parties
15. GOVERNMENT END USERS
If You are a U.S. Government end user, the Software is “commercial computer software” and “commercial computer software documentation” as defined in FAR 12.212 and DFARS 227.7202. Use, duplication, or disclosure by the U.S. Government is subject to the restrictions set forth in this EULA.
16. GENERAL PROVISIONS
16.1 Entire Agreement
This EULA constitutes the entire agreement between You and Licensor regarding the Software and supersedes all prior or contemporaneous understandings, agreements, representations, or warranties.
16.2 Amendments
Licensor reserves the right to modify this EULA at any time. Changes will be effective immediately upon posting on our website or notification through the Software. Your continued use of the Software after changes constitutes acceptance of the modified EULA.
16.3 Severability
If any provision of this EULA is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
16.4 Waiver
No waiver of any provision of this EULA shall be deemed or shall constitute a waiver of any other provision, nor shall any waiver constitute a continuing waiver.
16.5 Assignment
You may not assign or transfer this EULA or any rights under it without Licensor’s prior written consent. Licensor may assign this EULA without restriction. Any attempted assignment in violation of this section shall be void.
16.6 Governing Law
This EULA shall be governed by and construed in accordance with the laws of Your jurisdiction, without regard to its conflict of law principles.
16.7 Dispute Resolution
Any dispute arising out of or relating to this EULA shall be resolved through:
a) Good faith negotiation between the parties
b) Mediation if negotiation fails
c) Binding arbitration or litigation as a last resort
16.8 Attorney’s Fees
In any action to enforce this EULA, the prevailing party shall be entitled to reasonable attorney’s fees and costs.
16.9 Force Majeure
Licensor shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
16.10 Language
This EULA is written in English. Any translation is provided for convenience only. In case of conflict, the English version prevails.

17. ACKNOWLEDGMENT AND ACCEPTANCE
BY CLICKING “I ACCEPT,” INSTALLING, OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT:
